Bodhi Advisor Network — Advisor Policy & Agreement

Owner: Bodhi Group Co., Ltd. ("Bodhi", "the Company", "the Platform") Applies to: All individuals admitted to the Bodhi Advisor Network and operating through center.bodhigroups.com Status: Master reference (English). Khmer is the display/signing language; locked terms take their Khmer form only inside Khmer text. Final authority: Lymeng (Founder). This policy may be amended by the Company; the current version governs.


1. Purpose & Spirit

The Bodhi Advisor Network exists to put trustworthy, certified business advisors in front of Cambodian MSME owners, entrepreneurs, and Agricultural Cooperative (AgriCoop) leaders — using one shared diagnostic method (the Bodhi Growth System and the Genius framework) so that quality is consistent no matter which advisor a client meets.

The network is built as a growth tree, and the four tiers carry that meaning deliberately:

  • ពន្លក — the sprout: a new advisor still being formed.
  • លូតលាស់ — growing: a certified advisor standing on their own.
  • ដើមពោធិ — the mature tree: a senior advisor who shades and supports others.
  • អ្នកបណ្តុះ — the cultivator: a master advisor whose job is to grow more trees.

Joining the network is a professional commitment, not a subscription. An advisor is trusted with the Company's clients, the Company's method, and the Company's name. This policy is the agreement that protects all three — and protects the client above all.


2. Who May Apply (Eligibility)

To be considered for the network, an applicant must:

  1. Be at least 22 years old and legally able to work in Cambodia.
  2. Have genuine business, development, or operational experience (formal employment, running a business, cooperative leadership, or sector advisory work).
  3. Be fluent in Khmer; functional English is an asset but not required.
  4. Have a smartphone and a Telegram account (the platform's primary channel).
  5. Complete the Advisor Genius assessment as part of intake (this also feeds the matching engine).
  6. Pass a basic integrity check — no history of fraud against clients, no undisclosed conflict that competes with Bodhi.

Holding a current full-time job does not disqualify an applicant. Many strong advisors begin part-time. What matters is capacity to serve assigned clients reliably and the availability they declare honestly (this sets their matching availability_score).

Admission is at the Company's discretion. Eligibility is necessary but not sufficient — the Company is building a small, high-trust bench, not an open marketplace.


3. The Four Tiers — What Each One Is

*Fee figures are proposed defaults for you to set, calibrated to the Cambodian market and to your own platform economics — not fixed obligations. The split percentages (70/75/80) are already locked in your build spec and are reflected here unchanged. I am flagging the fees as a business decision rather than presenting them as final; you have final authority.

The defining difference between tiers is not pay — it is responsibility. Pay follows responsibility, not the reverse.

  • An L2 is responsible for their own clients.
  • An L3 is responsible for their clients and the advisors they mentor.
  • An L4 is responsible for a slice of the network's growth — they are the flywheel. This is why the Company keeps a smaller cut from them (20%): the L4 is doing work the Company would otherwise do itself.

4. How an Advisor Joins (The Funnel)

The join process is a funnel, not a form. Each stage screens for trust.

Stage 1 — Apply. Applicant submits profile (province, experience, specialties, declared availability) via the advisor intake on center.bodhigroups.com. Status: pending.

Stage 2 — Genius assessment. Applicant completes the Advisor Genius assessment. This is mandatory: it gives the applicant self-knowledge and gives the matching engine their primary_type / secondary_type.

Stage 3 — Orientation & method training. Applicant learns the Bodhi Growth System, the Health Check, and the advisory standards in this policy. They must demonstrate they can run a Health Check correctly and read a result honestly.

Stage 4 — Probation as ពន្លក (L1). Admitted as L1. They co-deliver under an assigned mentor (recorded as mentor_advisor_id). They observe at least the agreed number of real engagements before delivering independently. They do not bill clients directly at this stage.

Stage 5 — Certification to លូតលាស់ (L2). On passing certification (see §5), the advisor is active at L2 and enters the matching pool. They pay the L2 annual fee, activated_at is set, and tier_expires_at is set one year out.

No applicant skips to L2 without completing Stages 1–4, and no advisor reaches L4 without the Founder's personal approval (§5).


5. Certification & Tier Elevation

Movement up the tree is earned and reviewed, never automatic.

L1 → L2 (ពន្លក → លូតលាស់): Requires (a) completed method training, (b) a passed practical certification — running a real Health Check and producing a sound, client-ready read, and (c) a sign-off from the mentoring advisor. The Company makes the final call.

L2 → L3 (លូតលាស់ → ដើមពោធិ): Requires a track record — a minimum number of completed engagements with acceptable client outcomes, clean conduct, and a demonstrated ability to handle complexity. An L2 seeking L3 is taking on the duty to mentor others; they must want that, not just want the higher split.

L3 → L4 (ដើមពោធិ → អ្នកបណ្តុះ): Invitation only, and requires the Founder's personal approval (lymeng_approval_required = true, lymeng_approved must be set). L4 is not a reward for billing the most. It is reserved for advisors the Company trusts to carry the Bodhi name into a region or sector and grow the network on the Company's behalf. There is no application path to L4; the Company identifies candidates.

Demotion / suspension can also move an advisor down or out (§12). The tree can be pruned.

Tiers are reviewed at least annually at renewal, and at any time on cause.


6. Membership Fee, Renewal & Lapse

  • The annual fee is paid on activation and at each renewal; it is recorded in annual_fee_paid and the term runs to tier_expires_at.
  • The fee buys: platform access, the advisor portal, client matching, the Bodhi method and tools, the brand license (§10), continuing development, and inclusion in the network's marketing.
  • The fee is not a commission advance and is non-refundable once the advisor has been activated and given access, except at the Company's discretion.
  • Renewal requires good standing: active status, clean conduct, and any required continuing development completed.
  • Lapse: if the term expires without renewal, the advisor moves to suspended — removed from the matching pool, no new clients, portal access limited. Existing engagements are handled per §12. A lapsed advisor may reactivate within a grace window by renewing; after that, re-admission is treated as a new application.

7. Revenue Split & Payouts

  • Client revenue is split by tier — L2 70% / L3 75% / L4 80% to the advisor; the remainder to the Company. These percentages are fixed by the platform and recorded per engagement (advisor_share_pct); payout is computed automatically (advisor_payout_amount).
  • What the Company's share pays for: the platform and its hosting, the AI diagnostics and Mentor-Coach lead funnel, client acquisition and marketing, the method and its upkeep, matching, payment processing, brand, and support. The advisor is not paying for a referral — they are operating inside a system that delivers them pre-qualified, framework-aware clients.
  • Payouts are processed per period (advisor_payouts), in the agreed cycle (recommended: monthly, in arrears), via ABA PayWay / Wing / KHQR. A payout is released only for engagement revenue actually collected.
  • L1 ពន្លក do not receive an independent split. They are compensated by their supervising advisor or by a Company stipend, as agreed in writing for the engagement.
  • Advisors are independent contractors responsible for their own taxes. The Company is not the advisor's employer.

8. Client Assignment, Matching & Capacity

  • Clients are assigned by the matching engine, weighted Specialty 40% / Province 25% / Tier 20% / Availability 15%, with Genius-fit used only as a tie-breaker between otherwise equal advisors. These weights are fixed; advisors cannot buy priority.
  • The Company decides assignment. An advisor may decline an assignment for a genuine reason (capacity, conflict, sector mismatch) but repeated or unjustified declines lower their effective availability and standing.
  • Advisors must keep their declared availability honest. Accepting clients you cannot serve harms the client and the network and is a conduct issue.
  • An advisor who is at capacity should say so. Quality of service is always preferred over volume.

9. Code of Conduct & Ethics

Every advisor agrees to:

  1. Client first. Give honest counsel even when it is not what the client wants to hear, and never advise something against the client's interest for the advisor's gain.
  2. Honesty about ability. Do not claim expertise you don't have. Refer up the tree (to an ដើមពោធិ or អ្នកបណ្តុះ) when an engagement exceeds your level.
  3. Confidentiality. Treat all client information, financials, and diagnostics as strictly confidential. Do not share, reuse, or disclose client data outside the platform and the engagement.
  4. No conflict of interest. Disclose any competing business, family, or financial relationship with a client before accepting the engagement.
  5. No harm, no harassment, no discrimination. Treat clients, fellow advisors, and Company staff with respect.
  6. No misrepresentation of Bodhi. Do not promise outcomes the method cannot guarantee or speak for the Company without authority (L4 only, within scope).
  7. Stay within the method. Deliver using the Bodhi Growth System and approved tools. Personal frameworks may supplement but not replace the Bodhi standard.
  8. Data discipline. Record engagements truthfully in the portal. Do not falsify outcomes, revenue, or activity.

10. Use of the Bodhi Method, Brand & Intellectual Property

  • The Bodhi Growth System (five pillars), the Genius framework and its six types, the Health Check instruments, the brand, and all platform tools are the exclusive property of Bodhi Group Co., Ltd.
  • An active advisor receives a limited, non-exclusive, non-transferable license to use these only while in good standing and only to serve clients through the platform.
  • The advisor may not: teach, sell, license, publish, or repackage the method; train non-advisors in it; build a competing diagnostic from it; or use the Bodhi name, marks, or materials outside their authorized advisory work.
  • All client deliverables produced using Bodhi tools belong to the engagement/client as delivered, but the underlying method remains Bodhi's.
  • This license ends immediately on suspension, termination, or lapse. On exit, the advisor stops using all Bodhi IP and marks and returns or deletes Company materials.

11. The Mentor Chain (ដើមពោធិ & អ្នកបណ្តុះ duties)

  • Senior advisors carry the network's growth. The mentor_advisor_id link records who trained whom.
  • ដើមពោធិ (L3) are expected to mentor ពន្លក (L1): supervise co-delivery, sign off certifications honestly, and uphold the standard. A mentor's sign-off is a statement of trust — giving it carelessly is a conduct issue.
  • អ្នកបណ្តុះ (L4) carry recruitment and certification for their region or sector, represent Bodhi within agreed scope, and are accountable for the quality of the advisors they bring in. An L4's standing is tied to the standing of their downline.
  • Mentoring is a duty of the tier, not an extra paid service, unless the Company agrees a specific arrangement in writing.

12. Suspension, Termination & Graduation

Status values: pending · active · suspended · graduated.

Grounds for suspension or termination include: breach of confidentiality, dishonest reporting, client harm, circumvention/solicitation (§13), misuse of Bodhi IP (§10), repeated quality failures, lapsed renewal, or conduct that damages the Company's name.

Process: For anything other than a serious breach, the Company will normally give notice and a chance to correct. For serious breaches (fraud, confidentiality, client harm, circumvention), the Company may suspend immediately.

Effect on clients: Client welfare comes first. On an advisor's suspension or exit, active engagements are reassigned through the matching engine or handled by the Company. The departing advisor must hand over cleanly and must not take the client off-platform.

Graduation (graduated): A respectful exit — an advisor who leaves in good standing (e.g., moving on professionally). They retain the goodwill of the network; the IP license still ends, and non-circumvention (§13) still applies for its stated period.


13. Non-Circumvention & Non-Solicitation

This protects the system that feeds every advisor their clients.

  • An advisor may not take a client introduced or matched by the platform off-platform to avoid the revenue split — during the engagement or for 12 months after it ends.
  • An advisor may not solicit Bodhi clients, fellow advisors, or Company staff away from the network for a competing purpose.
  • An advisor may not use client lists, contact data, or diagnostics obtained through the platform for any purpose outside their authorized Bodhi work.
  • Pre-existing client relationships the advisor brought in independently are theirs — but must be declared at intake to avoid dispute.

Breach of this section is treated as a serious breach (§12) and may carry recovery of lost platform revenue.


14. Quality, Records & Review

  • Advisors deliver to the Bodhi standard and log each engagement truthfully in the portal (client_engagements).
  • The Company may review any engagement, request client feedback, and audit records.
  • Persistent quality below standard triggers re-training, demotion, or exit.
  • The Company tracks advisor outcomes to keep the network's promise consistent — this is the whole reason a client trusts "a Bodhi advisor" rather than a stranger.

15. Governance, Disputes & Amendment

  • This policy is governed by the laws of the Kingdom of Cambodia.
  • Disputes are resolved first by good-faith discussion, then by the Founder's decision; the Company's determination is final within the network.
  • The Founder (Lymeng) holds final authority over admissions, tier elevation (especially all L4 / អ្នកបណ្តុះ decisions), fees, splits where discretion applies, and interpretation of this policy.
  • The Company may amend this policy. Material changes are notified to advisors; continued participation after notice constitutes acceptance.

16. Advisor Declaration (to accept on joining)
